Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Clouddle, Inc. ("Clouddle," "we," "us," or "our"), governing your access to and use of all services, platforms, networks, and technologies offered by Clouddle, including but not limited to our website at clouddle.com, managed internet services, and property-wide WiFi infrastructure solutions.
By registering an account, connecting to a Clouddle-managed network, clicking "I Agree," or otherwise accessing our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

Services Described
Clouddle provides a range of technology services, which may include:
Clouddle may deploy and manage wireless network infrastructure across residential properties, commercial buildings, hospitality venues, and multi-tenant environments. The specific services available to you depend on the agreement in place between Clouddle and your property operator or service plan.
Services are provided "as available" and may vary by location, plan tier, and applicable agreements with property owners or managers.
Section 03
Eligibility
To use Clouddle services, you must be at least 18 years of age, or the age of legal majority in your jurisdiction. By using our services, you represent and warrant that you meet these requirements.
Minors may only access Clouddle services under the supervision of a parent or legal guardian who accepts these Terms. If you are a property manager or operator granting access to residents or guests, you are responsible for ensuring that their use complies with these Terms.
Section 04
User Accounts & Registration
Certain features of our services require creating an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password confidential and secure
- Notify Clouddle immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
Clouddle reserves the right to refuse registration, suspend, or terminate accounts at its sole discretion, including for violations of these Terms or applicable law.
Section 05
Property-Wide WiFi Use
Clouddle deploys and manages property-wide wireless internet infrastructure on behalf of property owners and operators. When connecting to a Clouddle-managed WiFi network, you agree to the following additional terms:
Access to Clouddle-managed networks is provided as a service amenity. Network availability, speed, and performance may vary based on plan tier, network load, infrastructure limitations, and external factors beyond Clouddle's control.
Your plan or property agreement may limit the number of devices you may connect simultaneously. Circumventing device limits through routers, hotspots, or other means is prohibited without prior written authorization.
If your property offers a guest portal, you may grant temporary access to visitors. You are responsible for ensuring your guests comply with these Terms. You may not resell or redistribute network access.
You must not interfere with network equipment, modify access points, deploy unauthorized networking equipment, or attempt to intercept traffic from other users on the network.
Section 06
Acceptable Use
You agree to use Clouddle services only for lawful purposes and in a manner consistent with these Terms, applicable local, state, and federal laws, and the rights of other users. Acceptable uses include but are not limited to:
- Personal internet browsing, communication, and entertainment
- Business productivity, remote work, and collaboration
- Educational activities and research
- Streaming licensed media content
- Accessing cloud-based applications and services
Clouddle may implement reasonable network management practices, including bandwidth throttling during peak usage periods, to ensure equitable access for all users. Any such measures will be disclosed in your service agreement or on our website.
Section 07
Prohibited Activities
The following activities are strictly prohibited when using Clouddle services:
- Illegal activity of any kind, including but not limited to fraud, harassment, threats, or unauthorized data access
- Distributing, transmitting, or storing child sexual abuse material (CSAM) or other illegal content
- Unauthorized reproduction, distribution, or transmission of copyrighted materials
- Sending unsolicited bulk email (spam) or engaging in phishing activities
- Deploying malware, viruses, ransomware, or other malicious code
- Attempting to gain unauthorized access to Clouddle systems, other users' accounts, or third-party networks
- Running unauthorized servers, proxies, or VPNs that violate your service plan
- Network scanning, packet sniffing, or traffic interception of other users
- Engaging in activities that degrade network performance for other users
- Reselling or redistributing Clouddle internet access without written authorization
- Impersonating Clouddle or any other person or entity
- Using the service to facilitate terrorism, hate speech, or incitement to violence
Clouddle reserves the right to immediately suspend or terminate access for violations, and to report illegal activity to law enforcement.
Section 08
Intellectual Property
All content on clouddle.com and associated platforms — including logos, trademarks, product names, documentation, software, and interface designs — is the exclusive property of Clouddle, Inc. and is protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works from any Clouddle content without express written consent.
If you believe content on our platform infringes your intellectual property rights, please contact us at legal@clouddle.com with a detailed description of the alleged infringement.
Section 09
Privacy & Data
Your privacy is important to us. Clouddle collects certain information in connection with providing our services, including device identifiers, connection timestamps, IP addresses, and usage data. This information is collected and used in accordance with our Privacy Policy, which is incorporated into these Terms by reference.
By using our services, you consent to Clouddle's collection and processing of data as described in the Privacy Policy. In connection with property-wide WiFi deployments, Clouddle may share anonymized, aggregate usage data with property owners and operators for network management and reporting purposes. Clouddle does not sell individual user data to third parties.
Clouddle may retain network logs for a period required by law or as necessary for legitimate business and security purposes.
Section 10
Payment & Billing
If your use of Clouddle services requires a paid subscription or plan, the following terms apply:
- All fees are due in advance and are non-refundable unless otherwise stated
- Clouddle reserves the right to modify pricing with reasonable notice
- Failure to pay may result in service suspension or termination
- You are responsible for all taxes and charges applicable to your account
- Billing disputes must be raised within 30 days of the invoice date
For services bundled as part of a property amenity, billing is governed by the agreement between Clouddle and your property owner or operator. Direct-to-consumer plan details are available on our website at clouddle.com/pricing.
Section 11
Service Availability & Maintenance
Clouddle endeavors to provide reliable, high-availability internet and network services. However, we do not guarantee uninterrupted or error-free service. Scheduled and unscheduled maintenance windows, ISP outages, equipment failures, weather events, and other circumstances may result in temporary service interruptions.
Clouddle will make reasonable efforts to provide advance notice of planned maintenance when possible. In the event of an outage, Clouddle will work diligently to restore service as quickly as practicable. Service credits, if any, are governed by your service-level agreement (SLA) or plan terms.
Section 12
Disclaimers of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, CLOUDDLE PROVIDES ALL SERVICES "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the services will be uninterrupted, secure, or free from errors or viruses.
Clouddle does not warrant the accuracy, completeness, or usefulness of any content accessed via its networks or services, nor does Clouddle endorse any third-party websites, services, or content reachable through its network.
Section 13
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOUDDLE, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of data, loss of revenue, loss of profits, loss of business, or loss of goodwill, arising out of or related to your use of or inability to use the services.
In no event shall Clouddle's total cumulative liability to you exceed the greater of: (a) the total amount you paid Clouddle for the service in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00). Some jurisdictions do not allow certain limitations of liability; these limits may not apply to you.
Section 14
Indemnification
You agree to defend, indemnify, and hold harmless Clouddle and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way related to:
- Your access to or use of Clouddle services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any content you transmit or store using Clouddle services
- Any illegal activity conducted through your account or connection
Section 15
Termination
Either party may terminate this agreement at any time. Clouddle may suspend or terminate your access immediately and without notice if you violate these Terms, engage in illegal activity, or if Clouddle determines, in its sole discretion, that such action is necessary to protect its network, other users, or third parties.
Upon termination, your right to use the services ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.
Section 16
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.
Any dispute arising out of or relating to these Terms or your use of Clouddle services shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in English in the State of Delaware.
Class Action Waiver: You agree that any dispute shall be resolved on an individual basis and not in a class, consolidated, or representative action.
Section 17
Changes to These Terms
Clouddle reserves the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where practical, provide notice via email or within the service portal.
Your continued use of Clouddle services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of our services.
